Independent Director's 2025 Annual Performance Report (Zeng Ming)
To the Shareholders and Shareholder Representatives:
As an independent director of Guangdong Jingyi Metal Co., Ltd. (hereinafter referred to as the "Company"), I have, in accordance with the "Company Law," "Guidelines for Corporate Governance of Listed Companies," "Shenzhen Stock Exchange Listed Company Self-Regulatory Management Guidelines No. 1 - Normative Operation of Main Board Listed Companies," and other relevant laws, administrative regulations, departmental rules, normative documents, and the "Articles of Association" and the "Independent Director Work System" of the Company, faithfully, diligently, and conscientiously performed my duties during 2025. I have promptly understood the Company's production and operation information, paid full attention to the Company's development status, actively attended relevant meetings, diligently reviewed all proposals submitted to the Board of Directors, and effectively ensured the standardized operation of the Company, thereby safeguarding the legitimate interests of the Company and its shareholders, especially public shareholders.
Herein is my report on the performance of my duties in 2025:
I. Basic Information of Independent Director
I, Zeng Ming, born in November 1957 in Taiyuan, Shanxi, hold a Master's degree. I graduated from North China Electric Power University in 1984 and am a professor and doctoral supervisor at the School of Economics and Management, North China Electric Power University. I concurrently serve as the Director of the Energy Internet Committee of the China Energy Research Society, Deputy Director of the Digital Economy Committee of the China Energy Research Society, Deputy Director of the Digital Technology and Industry Committee of the China Energy Research Society, Deputy Director of the Blockchain Committee of the China Electrical Engineering Society, Vice President of the Integrated Energy Services and Electricity Sales Branch of the China Electricity Council, and Deputy Chairman of the IEEE PES Energy Internet Professional Technical Committee. I enjoy special government allowances from the State Council. I also serve as an independent director of Xinyi Energy Technology Co., Ltd. and an independent non-executive director of Beijing Energy International Holdings Limited.
