I. Overview of the Investment Fund Guangdong Yaowang Technology Group Co., Ltd. ("the Company")'s holding subsidiary, Hangzhou Yaowang Network Technology Co., Ltd. ("Yaowang Network"), signed the "Partnership Agreement of Shenzhen Gaotou Yida Venture Capital Partnership (Limited Partnership)" on March 29, 2023. Yaowang Network, as a limited partner, subscribed for RMB 100 million in the target fund, accounting for 20.00% of the fund's total capital after this round of fundraising. The initial contribution was RMB 40 million, with the remaining contributions planned to be paid in two installments of RMB 30 million and RMB 30 million, respectively. Shenzhen Gaotou Yida Venture Capital Partnership (Limited Partnership) ("Gaotou Yida") has completed the filing procedures with the Asset Management Association of China and obtained the "Private Investment Fund Filing Certificate" (Filing Code: SZZ619). As of now, Yaowang Network has paid in RMB 40 million. II. Description of Progress Upon unanimous agreement among all partners, all partners agreed to change the partners and revise the partnership agreement of Gaotou Yida, agreeing to change the capital contribution of some limited partners and admit new limited partners. After the changes, the total subscribed capital of Gaotou Yida remains unchanged, while the subscribed capital of some partners has changed, and 5 new limited partners have been added. Among them, the subscribed capital of the Company's subsidiary, Yaowang Network, has been reduced from RMB 100 million to RMB 40 million (already paid), accounting for 8% of the capital after the change.
