Beijing Yingke (Hangzhou) Law Firm (hereinafter referred to as "this firm") has accepted the commission from Hangzhou Liaoning Interactive Information Technology Co., Ltd. (hereinafter referred to as "Liaoning Interactive" or "your company") to provide legal opinions regarding your company's intended application to the People's Court for restructuring and pre-restructuring (hereinafter referred to as "this project"). This legal opinion addresses the legality and compliance of the applicant, the basis for the application, and the reasons for the application.
This firm has issued this legal opinion based on facts that occurred or existed prior to the date of issuance, the current laws, administrative regulations, departmental rules, and other normative documents of China, as well as the documents and materials provided by your company. For the purpose of issuing this legal opinion, our lawyers have reviewed the documents related to this project provided by your company, including:
- The announcement titled "Announcement on the Intended Application for Restructuring and Pre-restructuring to the Court" disclosed by Liaoning Interactive on the evening of May 27, 2024 (Announcement No.: 2024-021);
- A table of major debts that Liaoning Interactive cannot repay when due, along with corresponding loan contracts, guarantee/security contracts, loan and repayment transaction records, and real estate mortgage valuation reports;
- A detailed list of major litigations involving Liaoning Interactive and the litigation and enforcement materials from major financial institutions involved, including effective legal documents such as civil judgments, civil mediation documents, and enforcement rulings;
- A declaration of Liaoning Interactive's asset situation, a list of restricted assets, and real estate registration inquiry records (including sealed registration information);
- Liaoning Interactive's "2023 Annual Audit Report."
