Legal Opinion of Beijing Zhong Lun Law Firm on Sichuan Chuanrun Co., Ltd.'s 2026 Private Placement of A Shares

This legal opinion is issued by our firm in accordance with the legal services agreement signed with Sichuan Chuanrun Co., Ltd. (hereinafter referred to as the "Issuer," "Company," or "Chuanrun Shares"). Our firm has been entrusted by the Issuer to serve as the special legal counsel for this issuance. In accordance with the "Company Law of the People's Republic of China" (hereinafter referred to as the "Company Law"), the "Securities Law of the People's Republic of China" (hereinafter referred to as the "Securities Law"), the "Administrative Measures for the Registration of Securities Issuances by Listed Companies" (hereinafter referred to as the "Registration Measures"), "Supervision Rule Guidance - Issuance Category No. 6," "Supervision Rule Guidance - Issuance Category No. 7," "Shenzhen Stock Exchange Stock Issuance and Listing Review Rules" (hereinafter referred to as the "Review Rules"), "Shenzhen Stock Exchange Business Guide for Stock Issuance and Listing No. 5 - Key Points for Review of Listed Companies' Private Placement of Securities," the "Administrative Measures for Law Firms Engaging in Securities Legal Business," and the "Practice Rules for Securities Legal Business of Law Firms (Trial)," and other relevant laws, regulations, and normative documents, and in accordance with the generally recognized business standards, ethical norms, and diligent and conscientious spirit of the legal profession, we hereby issue this legal opinion for this issuance.
In order to issue this legal opinion, our firm and the handling lawyers hereby make the following statements:
(I) For the purpose of issuing this legal opinion, our firm and the handling lawyers have received assurances from the Issuer that the Issuer has provided our firm with all original written materials, duplicate materials, or oral and written testimony that the handling lawyers deem necessary for the issuance of the lawyer's work report and legal opinion, which are true, accurate, and complete. All facts and documents that could affect the issuance of the lawyer's work report and legal opinion have been disclosed to our firm, and there are no omissions, falsehoods, or misleading statements. All duplicates are consistent with the originals, and all photocopies are consistent with the originals.
(II) The handling lawyers have, in accordance with business rules, employed methods such as interviews, written reviews, on-site investigations, and inquiries, and have diligently, conscientiously, and prudently fulfilled their verification and validation obligations.
(III) The handling lawyers have, in accordance with the law, verified and validated the truthfulness, accuracy, and completeness of the content of the documents and materials relied upon. Prior to verification and validation, a verification and validation plan was formulated, clarifying the matters to be verified and validated, and it has been appropriately supplemented and adjusted based on the progress of the business.
(IV) The handling lawyers have, in accordance with the "Reporting Rules No. 12" issued by the China Securities Regulatory Commission, and based on facts that have occurred or existed prior to the issuance of this legal opinion, as well as current Chinese laws, regulations, and relevant regulations of the China Securities Regulatory Commission, expressed their legal opinions.
