Zhefu Holdings Group Co., Ltd. (hereinafter referred to as the "Company") received on August 7, 2026, a "Notice of Equity Change Exceeding Integer Multiples of 1% for Shareholders Holding Over 5% and Their Concerted Parties" from Mr. Ye Biao, a shareholder holding over 5% of the shares, and his concerted parties, Ms. Hu Jinlian and Zhejiang Shenlian Investment Management Co., Ltd. (hereinafter referred to as "Shenlian Investment") (collectively referred to as the "Information Disclosure Obligors"). From July 23, 2026, to August 6, 2026, the Information Disclosure Obligors' shareholding ratio changed due to a reduction in holdings through centralized bidding, with a cumulative change in shareholding ratio of 1.0000%. After the change, their shareholding ratio is 13.0000%.
According to the "Administrative Measures for the Takeover of Listed Companies" and the "Opinions on the Application of Articles 13 and 14 of the Administrative Measures for the Takeover of Listed Companies" (Securities and Futures Legal Application Opinion No. 19), after the Information Disclosure Obligors reduced part of their holdings in the Company, their shareholding ratio in the Company decreased from 14.0000% to 13.0000%.
