I. Basic Situation of Raised Funds
As approved by the China Securities Regulatory Commission's "Approval on iFlytek Co., Ltd.'s Application for Issuing Shares to Specific Objects" (Regulatory Permit [2026] No. 502), the Company issued 90,232,348 ordinary shares (A shares) to specific objects in April 2026, at a price of RMB 44.33 per share. According to the "Capital Verification Report" (Rongcheng Verification [2026] 230Z0049) issued by Rongcheng Certified Public Accountants (Special General Partnership) on April 17, 2026, as of April 16, 2026, the Company had issued 90,232,348 ordinary shares (A shares) to 14 specific investors, raising a total of RMB 3,999,999,986.84. The net amount of raised funds was RMB 3,980,552,493.91. The Company has managed the raised funds in dedicated accounts in accordance with regulations and has signed fund management agreements with the sponsor and the custodian bank for the raised funds.
