Deheng Shanghai Law Office, upon the entrustment of Shanghai Hongda New Material Co., Ltd. (hereinafter referred to as the "Company"), has appointed its witnessing lawyers to attend the 2025 Annual General Meeting of the Company held at Room 3603, 15 Dapu Road, Huangpu District, Shanghai at 14:00 on May 14, 2026 (hereinafter referred to as the "Meeting"). This opinion is issued to witness the convening of the Meeting.
The witnessing lawyers of this firm have issued this opinion based on the facts that have occurred or existed prior to the issuance of this opinion and in accordance with the "Company Law of the People's Republic of China" (hereinafter referred to as the "Company Law"), the "Securities Law of the People's Republic of China" (hereinafter referred to as the "Securities Law"), the "Shareholder Meeting Rules of Listed Companies" (hereinafter referred to as the "Shareholder Meeting Rules"), and other effective laws, regulations, and normative documents, as well as the "Articles of Association of Shanghai Hongda New Material Co., Ltd." (hereinafter referred to as the "Articles of Association") and the "Shareholder Meeting Rules of Shanghai Hongda New Material Co., Ltd." (hereinafter referred to as the "Shareholder Meeting Rules").
