- Basis for Issuing the Legal Opinion
1.1 Introduction of the Law Firm
Zhejiang Tiance Law Firm, established in April 1986, is a comprehensive large-scale law firm primarily engaged in legal services in finance and securities, international investment and trade, mergers and acquisitions, real estate, and dispute resolution. The firm has six offices nationwide, located in Hangzhou, Beijing, Shanghai, Shenzhen, Ningbo, and Wuhan, forming an integrated service network, with Hangzhou as the headquarters. The firm has received titles such as "Civilized Law Firm at the Ministry Level" and "National Excellent Law Firm."
1.2 Introduction of the Attorneys
Attorney Jin Zhen has been practicing law since 2006 and is currently a partner and practicing attorney at Zhejiang Tiance Law Firm. Attorney Jin has no records of violations. Attorney Huang Jin has been practicing law since 2013 and is currently a practicing attorney at Zhejiang Tiance Law Firm. Attorney Huang has no records of violations.

Any references to financial statements or audit reports in this legal opinion are strictly quoted from reports issued by relevant intermediaries and do not imply any express or implied guarantee of the authenticity or accuracy of these data and conclusions.
2.4 To issue this legal opinion, the lawyers have received assurances from Hailide that it has provided necessary, authentic, and valid original written materials, copies, or oral testimonies, and that the signatures and/or seals on the relevant materials are authentic and valid, with no false content or significant omissions.
2.5 This legal opinion is solely for the purpose of Hailide's adjustments and shall not be used for any other purpose.
2.6 The lawyers agree to Hailide's citation of this legal opinion, provided that such citation does not lead to legal ambiguities or misinterpretations.
2.7 The lawyers agree to treat this legal opinion as a necessary legal document for Hailide's adjustments, to be submitted or publicly disclosed along with other application materials, and shall bear corresponding legal responsibilities for the opinions expressed.
