Compensation Plan for Directors and Senior Management
To further improve the governance structure of Xinjiang Guotong Pipeline Co., Ltd. (hereinafter referred to as "Guotong"), and to establish a standardized compensation management system for directors and senior management, this compensation plan for the seventh board of directors and senior management is formulated in accordance with the Company Law of the People's Republic of China, the Guidelines for Corporate Governance of Listed Companies, and relevant provisions of the Articles of Association, combined with the company's operational realities, job responsibilities, and performance evaluations. The specific details are as follows:
1. Applicable Personnel
The seventh board of directors and senior management.
2. Applicable Duration
This plan shall take effect from the date of approval by the shareholders' meeting until the expiration of the seventh board of directors. If the term of the seventh board expires without timely re-election, or if the new compensation plan has not officially taken effect before the new board is established, the original directors and senior management will continue to perform their duties under this plan until the new compensation plan takes effect.
