1. Audit Opinion
We have audited the financial statements of Guangzhou Zhiguang Energy Storage Technology Co., Ltd. (hereinafter referred to as "Zhiguang Energy Storage"), which include the consolidated and parent company balance sheets as of December 31, 2024, and December 31, 2025, the consolidated and parent company income statements, consolidated and parent company cash flow statements, consolidated and parent company statements of changes in equity for the years 2024 and 2025, and the accompanying notes to the financial statements. In our opinion, the attached financial statements present fairly, in all material respects, the financial position of Zhiguang Energy Storage as of December 31, 2024, and December 31, 2025, and its operational results and cash flows for the years 2024 and 2025 in accordance with the provisions of the Accounting Standards for Business Enterprises.
2. Basis for Audit Opinion
We conducted our audit in accordance with the Chinese Certified Public Accountant Auditing Standards. The section "Responsibilities of Certified Public Accountants for Auditing Financial Statements" in the audit report further elaborates on our responsibilities under these standards. In accordance with the independence standards for Chinese Certified Public Accountants and the Code of Ethics for Chinese Certified Public Accountants, we are independent of Zhiguang Energy Storage and have fulfilled our other ethical responsibilities. We believe that the audit evidence we have obtained is sufficient and appropriate to provide a basis for our audit opinion.
3. Responsibilities of Management and Those Charged with Governance for the Financial Statements
The management of Zhiguang Energy Storage (hereinafter referred to as "management") is responsible for the preparation of the financial statements in accordance with the Accounting Standards for Business Enterprises, ensuring that they are free from material misstatement, whether due to fraud or error, and for designing, implementing, and maintaining internal controls necessary for the preparation of financial statements that are free from material misstatement. In preparing the financial statements, management is responsible for assessing the company's ability to continue as a going concern, disclosing, as applicable, matters related to going concern, and using the going concern basis of accounting unless management intends to liquidate Zhiguang Energy Storage or to cease operations, or has no realistic alternative but to do so. Those charged with governance are responsible for overseeing the financial reporting process of Zhiguang Energy Storage.
