Titanium Chemical Co., Ltd. (hereinafter referred to as the "Company") held the Eighth Board of Directors' Fourteenth (Extraordinary) Meeting on August 11, 2026, and reviewed and approved the "Proposal on Wholly-Owned Subsidiary's Investment in the Construction of a 600,000-ton/year 【Lithium Iron Phosphate/Sodium Iron Phosphate】 Precursor (Ferrophosphate) Project."
In accordance with the "Shenzhen Stock Exchange Stock Listing Rules," "Company Articles of Association," and other relevant regulations, this investment matter falls within the scope of the Board of Directors' approval authority and does not require submission to the Company's shareholders' meeting for deliberation.
