In accordance with the "Company Law of the People's Republic of China," "Shenzhen Stock Exchange Listed Company Self-Regulatory Guidelines No. 9 - Share Repurchases," and other relevant regulations, shares held in the company's dedicated repurchase account do not have profit distribution rights. The shares held by Titanium Chemical Co., Ltd. (hereinafter referred to as the "Company") in its dedicated repurchase account do not participate in this equity distribution.

The Company's 2026 interim profit distribution plan is as follows: based on the outstanding share capital after deducting shares in the repurchase account (32,379,745.00 shares repurchased), totaling 3,774,292,438 shares, a cash dividend of RMB 0.20 (tax inclusive) will be distributed per 10 shares to all shareholders. No bonus shares will be issued, and no capital accumulation fund will be converted into share capital. The total cash dividend to be distributed is RMB 75,485,848.76 (tax inclusive), representing 100% of the total profit distribution and 17.98% of the company's net profit attributable to parent shareholders for the 2026 interim consolidated financial statements. If the company's total share capital changes due to share repurchases or other reasons before the implementation of this profit distribution plan, it will be adjusted accordingly based on the principle of "fixed total cash dividend."

This equity distribution plan is within the scope of authorization granted by the 2025 Annual Shareholders' Meeting and is consistent with the profit distribution plan deliberated and approved by the Company's Board of Directors.
