Shenzhen Walden Materials Co., Ltd. (hereinafter referred to as "the Company") has engaged Zhengdan Zhiyuan (Shenzhen) Accounting Firm (Special General Partnership) (hereinafter referred to as "Zhengdan Zhiyuan") as the domestic financial statement and internal control auditor for the year 2025, and Dahua Mashiyun Accounting Firm Co., Ltd. (hereinafter referred to as "Dahua Mashiyun") as the overseas auditor for the year 2025. In accordance with the relevant regulations and requirements of the Company Law of the People's Republic of China, the Securities Law of the People's Republic of China, the Code of Corporate Governance for Listed Companies, the Management Measures for the Selection of Accounting Firms by State-owned Enterprises and Listed Companies, the Self-Regulatory Guidelines for Listed Companies on the Shenzhen Stock Exchange No. 1 - Standard Operation of Main Board Listed Companies, and the Articles of Association of the Company, the following evaluation opinions on the performance of the accounting firms for the year 2025 are reported:
1. Independence
Neither Zhengdan Zhiyuan nor Dahua Mashiyun has any employees serving in the Company, nor have they received any cash or other economic benefits apart from the audit engagement letter. There are no direct or indirect mutual investments between Zhengdan Zhiyuan, Dahua Mashiyun, and the Company, nor are there any close operational relationships. There are no relationships between the audit team members and the Company's management. Throughout the audit process, Zhengdan Zhiyuan and Dahua Mashiyun, along with their audit team members, maintained both formal and substantive independence, adhering to the fundamental principles of professional ethics regarding independence.
2. Professional Competence
Zhengdan Zhiyuan and Dahua Mashiyun have assigned dedicated audit teams, with team members possessing the necessary professional knowledge and relevant professional certificates required for this audit. They exhibit good professional ethics, diligence, and responsibility, demonstrating their capability to perform the audit while maintaining due attention and professional caution.
