Beijing Junhe Law Firm (hereinafter referred to as "this Firm") is a law firm established in the People's Republic of China (hereinafter referred to as "China"), including Hong Kong, Macao, and Taiwan regions, and has legal qualifications in the relevant jurisdictions. This Firm has been retained by State Power Investment Corporation Inner Mongolia Energy Co., Ltd. (hereinafter referred to as "the Company") and its consistent actors (hereinafter referred to as "the Consistent Actors") regarding the exemption from issuing a tender offer.
