CITIC Securities Co., Ltd. accepts the commission from Inner Mongolia Electric Power Investment Energy Co., Ltd. to act as its independent financial advisor for the share issuance and cash payment for asset acquisition and related transactions, and issues this independent financial advisor's verification opinion. This verification opinion is prepared in accordance with the relevant provisions of the Company Law of the People's Republic of China, the Securities Law of the People's Republic of China, the Administrative Measures for Major Asset Restructuring of Listed Companies, and the Guidelines for the Content and Format of Information Disclosure by Companies Issuing Securities No. 26—Major Asset Restructuring of Listed Companies, as well as recognized business standards, ethical norms, and principles of honesty, credit, and diligence in the securities industry.
