To: Hubei Nengte Technology Co., Ltd.
Hubei Sunshine Law Firm (hereinafter referred to as "the Firm") has been appointed by Hubei Nengte Technology Co., Ltd. (hereinafter referred to as "Nengte Technology," "the Company," or "the Listed Company") as its special legal advisor. In accordance with the "Company Law of the People's Republic of China" (hereinafter referred to as the "Company Law"), the "Securities Law of the People's Republic of China," the "Administrative Measures for Information Disclosure of Listed Companies," the "Administrative Measures for the Takeover of Listed Companies" (hereinafter referred to as the "Takeover Measures"), and the "Information Disclosure Content and Format Standards for Publicly Issued Securities No. 15 – Report on Changes in Equity," and other relevant laws, regulations, and trading rules, the Firm's lawyers, in accordance with the generally accepted business standards, ethical norms, and diligent and responsible spirit of the legal profession, hereby issue this legal opinion on matters related to Nengte Technology's control rights.

- Nengte Technology guarantees to the Firm that it has provided all factual documents required for the issuance of this legal opinion. All documents are true, complete, and free from any falsehood, concealment, omission, or misleading information. All copies or duplicates of the documents are consistent with the originals in content, and all seals and signatures on the documents are authentic.
