(1) Overview of Related Transactions
According to the operational needs of Xinjiang Zhongtai Chemical Co., Ltd. (hereinafter referred to as "the Company" or "Zhongtai Chemical") and its subsidiaries, the expected daily related transactions for 2026 with related party Xinjiang Zhongtai (Group) Co., Ltd. (hereinafter referred to as "Zhongtai Group") and its subsidiaries include procurement of raw materials, products, and goods, sales of products and goods, acceptance of labor and services, provision of labor and services, and leasing of properties. This estimate was approved by the Company's second board meeting on February 10, 2026. During the review of this proposal, related directors Mr. Huang Xiaohu and Mr. Han Qiang abstained from voting, and all other directors agreed. According to the "Shenzhen Stock Exchange Stock Listing Rules" and other relevant regulations, this matter will be submitted to the Company's first extraordinary shareholders' meeting of 2026 for review, with related shareholders abstaining from voting.
