Further to the "Lawyer Service Agreement" signed by this firm and the Issuer, this firm has been retained by the Issuer as its special legal counsel for this issuance.
This firm's lawyers have, in accordance with the "Company Law," "Securities Law," "Administrative Measures for Securities Legal Business," "Practice Rules for Securities Legal Business," and other laws, regulations, rules, normative documents, and relevant regulations of the China Securities Regulatory Commission and the stock exchanges, and in accordance with the business standards, ethical norms, and diligence recognized by the legal profession, inspected the documents and relevant facts provided by the Issuer and have issued the "Legal Opinion of Beijing Merits & Tree Law Offices on CITIC SCIENTIFIC Co., Ltd.'s Application for Issuance of Shares to Specific Objects" (hereinafter referred to as the "Legal Opinion"), the "Lawyer's Work Report of Beijing Merits & Tree Law Offices on CITIC SCIENTIFIC Co., Ltd.'s Application for Issuance of Shares to Specific Objects" (hereinafter referred to as the "Lawyer's Work Report"), the "Supplemental Legal Opinion I of Beijing Merits & Tree Law Offices on CITIC SCIENTIFIC Co., Ltd.'s Application for Issuance of Shares to Specific Objects" (hereinafter referred to as "Supplemental Legal Opinion I"), the "Supplemental Legal Opinion II of Beijing Merits & Tree Law Offices on CITIC SCIENTIFIC Co., Ltd.'s Application for Issuance of Shares to Specific Objects" (hereinafter referred to as "Supplemental Legal Opinion II"), the "Supplemental Legal Opinion III of Beijing Merits & Tree Law Offices on CITIC SCIENTIFIC Co., Ltd.'s Application for Issuance of Shares to Specific Objects" (hereinafter referred to as "Supplemental Legal Opinion III"), the "Supplemental Legal Opinion IV of Beijing Merits & Tree Law Offices on CITIC SCIENTIFIC Co., Ltd.'s Application for Issuance of Shares to Specific Objects" (hereinafter referred to as "Supplemental Legal Opinion IV"), and the "Supplemental Legal Opinion V of Beijing Merits & Tree Law Offices on CITIC SCIENTIFIC Co., Ltd.'s Application for Issuance of Shares to Specific Objects" (hereinafter referred to as "Supplemental Legal Opinion V").
In accordance with the "Inquiry Letter Regarding CITIC SCIENTIFIC Co., Ltd.'s Application for Issuance of Shares to Specific Objects" (Inquiry Letter [2025] No. 120057, hereinafter referred to as "Inquiry Letter I") and the Issuer's requirements, this firm
has conducted further investigations into the Issuer and matters related to this issuance and has issued this Supplemental Legal Opinion to modify, supplement, or further explain the relevant contents of the "Legal Opinion," "Lawyer's Work Report," "Supplemental Legal Opinion I," "Supplemental Legal Opinion II," "Supplemental Legal Opinion III," "Supplemental Legal Opinion IV," and "Supplemental Legal Opinion V" previously issued by this firm's lawyers.
This firm's lawyers agree that this Supplemental Legal Opinion will be submitted together with other materials as an indispensable legal document for the Issuer's current issuance, and they shall bear corresponding responsibilities for this Supplemental Legal Opinion in accordance with the law; this Supplemental Legal Opinion is for the purpose of the Issuer's current issuance only and shall not be used for any other purpose.
