Beijing Vision Law Firm Regarding KaiRuiDe Holdings Co., Ltd.'s 2024 Annual General Meeting Legal Opinion

Beijing Vision Law Firm (hereinafter referred to as "the Firm") has been entrusted by KaiRuiDe Holdings Co., Ltd. (Stock Code: 002072, hereinafter referred to as "the Company") to issue a legal opinion for the Company's 2024 Annual General Meeting (hereinafter referred to as "the Meeting"). The Firm's lawyers attended the Meeting in person and, in accordance with the laws, regulations, and normative documents of the People's Republic of China, including the "Company Law of the People's Republic of China" (2023 Amendment) (hereinafter referred to as "Company Law"), the "Securities Law of the People's Republic of China" (2019 Revision) (hereinafter referred to as "Securities Law"), the "Rules for Shareholders' Meetings of Listed Companies" (hereinafter referred to as "Shareholders' Meeting Rules"), and the "Articles of Association of KaiRuiDe Holdings Co., Ltd." (December 2023 Edition) (hereinafter referred to as "Articles of Association"), hereby issues this Legal Opinion regarding matters related to the Meeting, adhering to the recognized professional standards, ethical norms, and diligent and conscientious spirit of the legal profession.
The Firm's lawyers, based on the matters that occurred or existed prior to the date of issuance of this Legal Opinion and the aforementioned laws, regulations, normative documents, and the Articles of Association, express legal opinions on the convening and holding procedures of the Meeting, the qualifications of attendees and the convener, the matters considered at the Meeting, and the voting procedures and results. The Firm's lawyers do not express legal opinions on the content of the proposals or the truthfulness, accuracy, or completeness of the facts and data involved in the proposals.
