Review Opinion on the Qualification of Senior Management Personnel
In accordance with the "Company Law," the "Shenzhen Stock Exchange Stock Listing Rules," the "Shenzhen Stock Exchange Listed Company Self-Regulatory Supervision Guidelines No. 1 - Norms for Operation of Main Board Listed Companies," and other laws and regulations, as well as the "Articles of Association of Kai Rui De Holdings Co., Ltd." (hereinafter referred to as the "Articles of Association"), we, as members of the Nomination Committee of the Eighth Board of Directors of Kai Rui De Holdings Co., Ltd. (hereinafter referred to as the "Company"), have carefully reviewed the "Proposal on Appointing the General Manager of the Company" and the "Proposal on Appointing Senior Management Personnel" deliberated at the first meeting of the Eighth Board of Directors. We have reviewed the conditions and qualifications of the proposed General Manager and senior management personnel and their relevant materials, and hereby express our review opinions as follows:
- After review, Mr. Ji Xiaowen meets the qualification requirements for the position of General Manager of the Company, is capable of fulfilling the responsibilities of the position, and possesses the ability to perform the duties of General Manager. No circumstances were found that would prohibit him from serving as a senior management member of a listed company as stipulated by the "Company Law" and the "Shenzhen Stock Exchange Stock Listing Rules." There are no circumstances recognized by the China Securities Regulatory Commission and the Shenzhen Stock Exchange that would make him unsuitable to serve as a senior management member of a listed company. He has not been subject to administrative penalties from the China Securities Regulatory Commission or public reprimands or warnings from the Shenzhen Stock Exchange in the last thirty-six months, nor is he under investigation by judicial authorities for suspected criminal offenses or by the China Securities Regulatory Commission for suspected violations of laws and regulations. He is not a person subject to enforcement for dishonesty, and he meets the qualification requirements stipulated by relevant laws, regulations, and rules.
