Key Information Reminder: The Jingmen Intermediate People's Court (hereinafter referred to as "Jingmen Court") has ruled to approve the restructuring plan of Kairui Holdings Co., Ltd. (hereinafter referred to as the "Restructuring Plan"), and has terminated the restructuring proceedings of Kairui Holdings Co., Ltd. (hereinafter referred to as the "Company" or "Kairui").
I. Company's Application for Ruling to Approve Restructuring Plan
The first creditors' meeting and the shareholders' meeting were held on December 6, 2021. The creditors' group voted to approve the "Restructuring Plan of Kairui Holdings Co., Ltd. (Draft)," and the shareholders' group also voted to approve the "Adjustment Plan for Equity Holders' Rights and Interests of the Restructuring Plan of Kairui Holdings Co., Ltd. (Draft)." In accordance with Article 86 of the "Enterprise Bankruptcy Law of the People's Republic of China" (hereinafter referred to as the "Bankruptcy Law"), the Company submitted an application to the Jingmen Court for a ruling to approve the restructuring plan. On December 8, 2021, the Company received the "Civil Ruling" (No. (2021) E 08 Min Po 1) issued by the Jingmen Court. The Jingmen Court ruled: to approve the restructuring plan of Kairui Holdings Co., Ltd., and to terminate the restructuring proceedings of Kairui Holdings Co., Ltd. This ruling is final.
