General Manager Work Regulations (Revised May 2021)
Article 1
In accordance with the Company Law of the People's Republic of China and the Articles of Association of Kaierde Holdings Co., Ltd. (hereinafter referred to as "the Articles"), and considering the specific circumstances of Kaierde Holdings Co., Ltd., these work regulations are formulated.
Article 2
The General Manager is appointed by the Board of Directors and is responsible to the Board. The General Manager has the right to nominate vice presidents and the financial officer, who are appointed by the Board. The company has several vice presidents, each responsible for different business areas in production and operation management.
Article 3
According to the Company Law and the Articles, the General Manager exercises the following powers:
- Preside over the company's production and operation management and report to the Board.
- Organize the implementation of Board resolutions, annual business plans, and investment proposals.
- Draft the internal management structure of the company.
- Draft the company's basic management systems.
- Formulate specific company regulations.
- Propose the appointment or dismissal of vice presidents and the financial officer to the Board.
- Hire or dismiss management personnel not requiring Board appointment.
- Formulate employee wages, benefits, and disciplinary measures, and decide on hiring and dismissal of employees.
- Propose the convening of temporary Board meetings.
- Other powers granted by the Articles or the Board.
