Hongrun Construction Group Co., Ltd. Announcement on the Extension of the 2022 Employee Stock Ownership Plan

Hongrun Construction Group Co., Ltd. (hereinafter referred to as the "Company") 2022 Employee Stock Ownership Plan (hereinafter referred to as the "Employee Stock Ownership Plan" or the "Plan") is due to expire on April 18, 2026. On February 4, 2026, the Company convened the sixth meeting of the eleventh Board of Directors, which deliberated and approved the "Proposal on Extending the 2022 Employee Stock Ownership Plan." It was agreed to extend the duration of the Employee Stock Ownership Plan by 12 months, to April 18, 2027. The relevant situation is hereby announced as follows:
I. Basic Situation of the Employee Stock Ownership Plan
- The Company convened the twenty-first meeting of the ninth Board of Directors on March 30, 2022, and the first extraordinary general meeting of shareholders on April 18, 2022, to deliberate and approve the "2022 Employee Stock Ownership Plan (Draft)" and its summary. On June 10, 2022, the third meeting of the tenth Board of Directors deliberated and approved the "2022 Employee Stock Ownership Plan (Draft) (Revised)" and its summary. On July 8, 2022, in accordance with the "Share Transfer Agreement" signed between the Employee Stock Ownership Plan and the Company's controlling shareholder, Zhejiang Hongrun Holding Co., Ltd., Zhejiang Hongrun Holding Co., Ltd. transferred 55,187,637 shares of the Company to the Employee Stock Ownership Plan through a non-transactional transfer, accounting for 5.01% of the Company's total share capital at that time. The lock-up period for this plan is 12 months, expiring on July 7, 2023.
