Hongrun Construction Group Co., Ltd. Board of Directors Nomination Committee Meeting Rules
Chapter 1 General Provisions
Article 1 To regulate the selection of directors and senior management personnel of Hongrun Construction Group Co., Ltd. (hereinafter referred to as the "Company"), optimize the composition of the board of directors, and improve the corporate governance structure, in accordance with the "Company Law of the People's Republic of China" (hereinafter referred to as the "Company Law"), the "Securities Law of the People's Republic of China", the "Guidelines for Corporate Governance of Listed Companies", the "Administrative Measures for Independent Directors of Listed Companies", the "Shenzhen Stock Exchange Listing Rules for Main Board Listed Companies" (hereinafter referred to as the "Listing Rules"), and the "Articles of Association of Hongrun Construction Group Co., Ltd." (hereinafter referred to as the "Articles of Association"), the Company hereby establishes a Nomination Committee of the Board of Directors and formulates these Rules.
Article 2 The Nomination Committee of the Board of Directors is a special working body established by the Board of Directors, responsible for formulating the selection standards and procedures for directors and senior management personnel, and fully considering factors such as the composition and professional structure of the board of directors. The Nomination Committee shall screen and review candidates for directors and senior management personnel and their qualifications.
Chapter 2 Composition of Personnel
Article 3 The Nomination Committee shall be composed of three directors, with independent directors accounting for more than half of the members.
Article 4 Candidates for the Nomination Committee shall be nominated by the Chairman, or by more than half of the independent directors, or by one-third of all directors, and shall be elected by the Board of Directors.
Article 5 The Nomination Committee shall have one Chairman (Convener), who shall be an independent director. The Chairman shall preside over the committee's work. The Chairman shall be elected from among the committee members and reported to the Board of Directors for approval.
