Huatai United Securities Co., Ltd. (hereinafter referred to as "Huatai United" or "this independent financial advisor") has been entrusted by Shanghai Weitai Industrial Automation Co., Ltd. (hereinafter referred to as "Weitai," "the listed company," or "the company") to act as the independent financial advisor for this major asset purchase and related transactions (hereinafter referred to as "this transaction"). This opinion is provided to all shareholders of the listed company and is based on a thorough investigation and due diligence conducted in accordance with the relevant laws and regulations, including the Company Law of the People's Republic of China, the Securities Law of the People's Republic of China, and other applicable guidelines.
