I. Basic Situation of the Litigation
Meta System S.p.A. (hereinafter referred to as "Meta"), the former controlling subsidiary of Shenzhen Derun Electronics Co., Ltd. (hereinafter referred to as the "Company"), entered into Composition with creditors Proceedings under Italian law (hereinafter referred to as the "CP Procedure"). Since then, the Company has lost control over Meta. Meta and its subsidiaries are no longer included in the Company's consolidated financial statements for 2024. The loans provided by the Company to Meta's subsidiaries, Meida Electrical Appliances (Chongqing) Co., Ltd. (hereinafter referred to as "Chongqing Meida") and Meite Technology (Yibin) Co., Ltd. (hereinafter referred to as "Yibin Meite"), have passively resulted in the Company providing external financial assistance.
