I. Project Overview
On July 16, 2026, the seventh extraordinary board meeting of Yunnan Energy Investment Co., Ltd. (hereinafter referred to as the "Company") deliberated and passed the "Proposal on the Project of Yunnan Energy Investment Co., Ltd. to Invest in and Construct Yongning Wind Farm (Phase V)". To seize strategic development opportunities and promote the strengthening, optimization, and expansion of the company's new energy business, it is agreed that Yunnan Energy Investment Co., Ltd. will invest in and construct the Yongning Wind Farm (Phase V) project. The project has an installed capacity of 54MW and a total investment of RMB 264.654 million. The project's capital is calculated at 20% of the total investment, with the remaining funds to be raised through bank loans and other debt financing methods.
This project investment does not constitute a related-party transaction, nor does it constitute a major asset restructuring as stipulated in the "Administrative Measures for Major Asset Restructuring of Listed Companies." It has been approved by the entity responsible for state-owned asset supervision. This investment matter is within the authority of the company's board of directors and does not require approval from the company's shareholders' meeting.
