Chapter 1 General Principles
Article 1
To further standardize the external donation behavior of Yunnan Energy Investment Co., Ltd. and its wholly-owned and controlling subsidiaries (hereinafter referred to as "the Company"), strengthen management of donation matters, and protect the interests of shareholders, creditors, and employees, these measures are formulated in accordance with the "Public Welfare Donation Law," "Company Law of the People's Republic of China," "State-Owned Assets Law," "Management Measures for External Donations of State-Owned Enterprises in Yunnan Province," and other relevant laws and regulations, combined with the actual situation of the Company.
Article 2
External donations refer to the Company's voluntary donation of legally owned property to legitimate recipients for expenditures that are not directly related to the Company's production and operational activities, including public welfare donations, relief donations, and other donations.
Article 3
External donations should adhere to the principles of voluntariness, altruism, capability, clear responsibilities, and honesty. The donation procedures and implementation must comply with relevant laws, regulations, and the Company's articles of association.
Chapter 2 Management Institutions and Responsibilities for External Donations
Article 4
The Office is the department responsible for the centralized management of external donations, overseeing the annual budget approval for external donation funds of the Company and its subsidiaries, and managing external donation matters. It is responsible for reviewing external donation matters and submitting them for approval by the appropriate decision-making body of the Company.
Article 5
The Party and Mass Work Department is responsible for donation work related to rural revitalization and regular targeted assistance, and shall handle such donations according to the decision-making procedures and rules outlined in these measures.
Article 6
The Financial Management Department is responsible for disbursing all expenses related to external donations and maintaining daily payment records. It is also responsible for providing a special explanation of the implementation and budget execution of external donations in the Company's annual financial statements, and for handling the accounting of external donations in accordance with national accounting and tax regulations.
Article 7
The Strategic Investment and Securities Affairs Department is responsible for the information disclosure of external donation matters that meet the decision-making standards of the Board of Directors.
Article 8
The Risk Control and Audit Legal Affairs Department is responsible for compliance review of external donation matters and conducting audit supervision according to its functional responsibilities.
Article 9
The Discipline Inspection Office is responsible for supervising the entire process of external donations and guiding the supervision and inspection of external donation matters by subsidiaries.
Chapter 3 Management of External Donations
Article 10
The budget for external donations shall be included in the Company's comprehensive budget management system. The annual budget for external donations must be reviewed and approved by the Company's Party Committee and General Office. Subsidiaries that do not follow the prescribed procedures are not allowed to make external donations without authorization.
