1. Background
Allbright Law Offices (hereinafter referred to as "the Firm") has been entrusted by Unisoc Microelectronics Co., Ltd. (hereinafter referred to as "the Company" or "Unisoc") to act as a special legal advisor for the Company's issuance of shares and cash payment for asset acquisition and fundraising related to the transaction (hereinafter referred to as "the Transaction"). This opinion is based on relevant laws and regulations, including the "Management Measures for Major Asset Restructuring of Listed Companies" and the "Guidelines for Self-Regulation of Listed Companies on the Shenzhen Stock Exchange."
