Articles of Association
Chapter 1 General Provisions
Article 1 To protect the legitimate rights and interests of the company, shareholders, employees, and creditors, and to regulate the company's organization and conduct, these Articles of Association are formulated in accordance with the "Company Law of the People's Republic of China" (hereinafter referred to as the "Company Law"), the "Securities Law of the People's Republic of China" (hereinafter referred to as the "Securities Law"), and other relevant regulations.
Article 2 The Company is a joint-stock limited company established in accordance with the "Normative Opinions on Joint Stock Limited Companies" and other relevant regulations (hereinafter referred to as the "Company"). The Company is registered and has obtained a business license in Guangzhou Administration for Market Regulation, with the unified social credit code being 91440101618445482W.
Article 3 Guoguang Electric Company Limited is a joint-stock limited company approved by the Guangzhou Economic System Reform Committee with the document No. 穗改股字[1993] 58, reorganized from the Guangzhou Guoguang Electric Sound Factory and established through the targeted issuance of internal employee shares. At the time of establishment, state-owned shares were valued and contributed as capital from the state-owned assets of Guangzhou Guoguang Electric Sound Factory, amounting to 32 million shares, and internal employee shares amounted to 8 million shares.
In 1995, the Company was approved by the Ministry of Foreign Trade and Economic Cooperation of the People's Republic of China with the document 穗外经贸资二函字[1995] 634, "Reply on Increasing Capital and Restructuring Guoguang Electric Company Limited into a Foreign-Invested Joint Stock Limited Company," and was restructured into a foreign-invested joint-stock limited company. It was registered and obtained a business license from the Guangzhou Administration for Industry and Commerce, with the business license number being 企股粤穗总字第001319号.
On September 8, 2009, the Company's business license registration number was changed to 440101400011767 by the industrial and commercial registration authority.
On January 31, 2011, in accordance with the "Notice on Issues Related to the Reform of Shareholding Structure of Listed Companies Involving Foreign Investment" (商资发[2005]565号) issued by the Ministry of Commerce and the China Securities Regulatory Commission, the Guangzhou Municipal Bureau of Foreign Trade and Economic Cooperation issued the "Reply on Changes in Equity of Guoguang Electric Company Limited and Revocation of the Foreign-Invested Enterprise Approval Certificate" (穗外经贸资批[2011]127号): "Given that the proportion of foreign-owned shares in Guoguang Electric Company Limited has fallen below 10%, the Company no longer holds the Foreign-Invested Enterprise Approval Certificate. The 'Foreign-Invested Enterprise Approval Certificate' (商外资穗外资证字[2009]0289号) is hereby revoked." On March 18, 2011, the Company obtained a new business license. The Company type was changed from "Joint Stock Limited Company (Sino-Foreign Equity Joint Venture, Listed)" to "Joint Stock Limited Company (Listed)."
Article 4 The registered name of the Company is Guoguang Electric Company Limited.
Article 5 The English full name of the Company is GUOGUANG ELECTRIC COMPANY LIMITED, and its abbreviated name is GGEC.
Article 6 The registered address of the Company is No. 8, Jinghu Avenue, Xinya Street, Huadu District, Guangzhou City, with the postal code 510800.
Article 7 The Company is a continuously existing joint-stock limited company.
Article 8 The legal representative of the Company shall be a director or manager who executes the Company's affairs, elected by more than half of the shareholders' meeting.
If a director or manager serving as the legal representative resigns, it shall be deemed that they have simultaneously resigned as the legal representative.
If the legal representative resigns, the Company shall appoint a new legal representative within thirty days from the date of resignation.
The civil activities carried out by the legal representative in the name of the Company shall be borne by the Company.
