As an Independent Director of Guangdong GDDEC Holdings Co., Ltd. (hereinafter referred to as the "Company") for the 11th Board of Directors, during my work in 2025, I strictly adhered to the "Company Law of the People's Republic of China," "Securities Law of the People's Republic of China," "Administrative Measures for Independent Directors of Listed Companies," "Stock Listing Rules of the Shenzhen Stock Exchange," and "Shenzhen Stock Exchange Listed Company Self-Regulatory Guidelines No. 1 - Norms for Operation of Main Board Listed Companies," and other relevant laws and regulations, as well as the "Articles of Association." I faithfully, diligently, and independently performed my duties, effectively safeguarding the overall interests of the Company and the interests of all shareholders, especially small and medium shareholders. I hereby report on my performance of independent director duties.
I. Personal Information (I) Work Experience Mr. Gu Ming'an, born in 1966, is a Chinese national with a Ph.D. He is currently a professor and doctoral supervisor in Civil and Commercial Law at the Law School of Southwestern University of Finance and Economics, an external supervisor for Sichuan Cangxi Rural Commercial Bank Co., Ltd., and an external supervisor for Luzhou City Xinglu Water (Group) Co., Ltd.
(II) Statement of Independence As an independent director of the Company, I possess the independence required by the "Administrative Measures for Independent Directors of Listed Companies" and have conducted an independence self-assessment in accordance with regulatory rules, finding no circumstances that affect my independence. I have no relationship with the Company or its controlling shareholder that could hinder independent and objective judgment, nor am I influenced by the controlling shareholder or any other entity or individual with a conflict of interest with the Company.
