Meeting Convening Situation
According to the Company Law of the People's Republic of China, the Securities Law of the People's Republic of China, the Management Measures for Major Asset Restructuring of Listed Companies, the Management Measures for Independent Directors of Listed Companies, the Listing Rules of the Shenzhen Stock Exchange, the Articles of Association of Meinian Health Industry Holdings Co., Ltd. (hereinafter referred to as "the Company"), and the Independent Director Work System of Meinian Health Industry Holdings Co., Ltd. (hereinafter referred to as "the Independent Director Work System"), the seventh meeting of the ninth board of directors' independent directors special meeting of Meinian Health Industry Holdings Co., Ltd. was held via communication on February 26, 2026, at 9:30 AM. Three independent directors were supposed to attend, and all three attended the meeting. The independent directors unanimously elected Ms. Wang Haitong as the convener and chairperson of the meeting. Some directors and senior management of the company attended the meeting. The number of attendees, voting procedures, and agenda of the meeting complied with the relevant provisions of the Company Law of the People's Republic of China, the Articles of Association, and the Management Measures for Independent Directors of Listed Companies.
