I. Overview of Estimated Guarantees
Huafu Fashion Co., Ltd. (hereinafter referred to as the "Company" or "Huafu Fashion") held the Fourth Meeting of the Ninth Board of Directors on April 28, 2026, and approved the "Proposal on Estimating Guarantees Provided by the Company for Subsidiaries in 2026." Due to the company's production and development needs, the company estimates that it will provide guarantees totaling no more than RMB 10.9 billion for its subsidiaries and their subordinate companies in 2026. The validity period is within 12 months after the approval of the 2025 Shareholders' Meeting. The company's Chairman or President is authorized to sign legal documents such as "Guarantee Contracts" and "Surety Agreements" with banks and other financial institutions within the authorized guarantee amount. The aforementioned proposal is subject to the approval of the Company's 2025 Shareholders' Meeting.
