Chapter 1 General Principles
Article 1
To clarify the responsibilities of the General Manager, ensure the efficient, coordinated, and standardized exercise of authority, protect the legitimate rights and interests of the company, shareholders, and creditors, and further improve the corporate governance structure, these work regulations are formulated in accordance with the Company Law of the People's Republic of China, the Securities Law of the People's Republic of China, the Code of Corporate Governance for Listed Companies, the Listing Rules of the Shenzhen Stock Exchange, the Self-Regulatory Guidelines for Listed Companies No. 1 - Standardized Operations of Main Board Listed Companies, and other relevant laws, regulations, normative documents, and the Articles of Association of Zhejiang Kainet Special Materials Co., Ltd. (hereinafter referred to as "the Company").
Article 2
Zhejiang Kainet Special Materials Co., Ltd. (hereinafter referred to as "the Company") shall legally establish the position of General Manager. The General Manager shall preside over the daily production, operation, and management work of the Company, organize the implementation of the resolutions of the Board of Directors, and be accountable to the Board of Directors.
Article 3
These regulations apply to senior management personnel of the Company, including the General Manager, Deputy General Managers, financial officers, and the Secretary of the Board of Directors.
Article 4
These regulations are binding on the General Manager and other senior management personnel of the Company.
Chapter 2 Qualifications and Appointment of the General Manager
Article 5
The General Manager and other senior management personnel of the Company shall meet the following qualifications:
- Possess rich knowledge of economic theory, management knowledge, and practical experience, with strong operational management capabilities;
- Ability to motivate employees, establish a reasonable organizational structure, coordinate various internal and external relationships, and oversee the overall situation;
- Have a certain number of years of experience in enterprise management or economic work, be familiar with the production and operation business of the industry, and master relevant national policies, laws, and regulations;
- Integrity, diligence, public service, fairness, a strong sense of mission, and a pioneering spirit.
Article 6
The following individuals shall not serve as the General Manager or other senior management personnel of the Company:
- Those without civil capacity or with limited civil capacity;
- Those who have been sentenced for embezzlement, bribery, misappropriation of property, or crimes that disrupt social and economic order, or who have been deprived of political rights due to criminal convictions, and have not exceeded five years since the completion of their sentence or two years since the end of probation;
- Those who have served as directors or managers of a company undergoing bankruptcy liquidation and are personally responsible for the bankruptcy, within three years from the completion of the bankruptcy liquidation;
- Those who have served as legal representatives of a company whose business license has been revoked or ordered to close due to violations, and are personally responsible, within three years from the revocation or closure;
- Individuals who have been listed as dishonest executors by the people's court due to significant unpaid debts;
- Those who are subject to market entry bans imposed by the China Securities Regulatory Commission, with the ban period not yet expired;
- Those publicly recognized by the Shenzhen Stock Exchange as unsuitable to serve as directors, supervisors, or senior management personnel of listed companies, with the ban period not yet expired;
- Other circumstances as stipulated by laws, administrative regulations, or departmental rules.
