On December 24, 2024, and January 23, 2025, your company disclosed the "Announcement on the Progress of External Investment," stating that its subsidiary, Dalian Zongde Lighting Technology Co., Ltd. (hereinafter referred to as Dalian Zongde Lighting), received an administrative ruling from the court (Case No. (2024) Liao 0291 Cai Bao No. 12), which ruled to seal the land use rights of Dalian Zongde Lighting's land parcel of 128,559 square meters for a period of three years from the date of sealing. This was primarily because the land was not completed by the deadline stipulated in the "State-Owned Construction Land Use Rights Grant Contract" (hereinafter referred to as the "Grant Contract"), which was December 30, 2015. The Dalian Jinpu New Area Natural Resources Bureau (hereinafter referred to as Dalian Natural Resources Bureau) issued a "Decision on Payment of Late Completion Penalty" according to administrative decision procedures, demanding Dalian Zongde Lighting to pay a penalty of 149 million yuan and applying to the court to seal the land. To resolve this matter, your company's board of directors deliberated and approved the "Proposal on Signing the Agreement." Dalian Zongde Lighting and Dalian Natural Resources Bureau signed an "Agreement," stipulating that Dalian Zongde Lighting would gratuitously return the land use rights and all attached structures, including the buildings under construction, on the land.
