Announcement on the Nomination of Independent Director Candidates
China Merchants Shekou Industrial Zone Holdings Co., Ltd. (hereinafter referred to as "the Company") announces that independent director Mr. Kong Ying has served as an independent director since March 5, 2020, completing a term of six years. According to the relevant provisions of the "Administrative Measures for Independent Directors of Listed Companies": "The term of independent directors is the same as that of other directors of the listed company, and upon expiration, they may be re-elected, but continuous service shall not exceed six years." Therefore, after Mr. Kong's term ends, he will no longer serve as an independent director of the fourth board of directors or hold any positions in the board's specialized committees.
Given that Mr. Kong's departure will result in the number of independent directors falling below one-third of the total number of directors on the board, and that independent directors will not constitute a majority in the relevant specialized committees, to ensure the proper operation of the board, Mr. Kong will continue to perform his duties as an independent director and his related responsibilities in the board's specialized committees until the new independent directors are elected by the shareholders' meeting. His departure will take effect after the election of the new independent directors by the shareholders' meeting.
