I. Overview of External Investment
To extend the industrial chain and improve the industrial layout, Huike Co., Ltd. (hereinafter referred to as the "Company") signed the "Advanced Packaging and Testing Project Cooperation Agreement" (hereinafter referred to as the "Cooperation Agreement") with the Management Committee of the Shaoxing Area of the Hangzhou-Shaoxing Konggang Economic Integration Development Demonstration Zone on July 17, 2026, to carry out the Huike Advanced Packaging and Testing Project. The Company will invest RMB 4 billion to establish a wholly-owned subsidiary, Zhejiang Huixin Advanced Semiconductor Co., Ltd. (tentative name) (hereinafter referred to as the "Project Company"), as the project implementation entity.
On July 17, 2026, the Company held the Fifth Extraordinary Meeting of the Fourth Board of Directors, which, by a vote of 9 in favor, 0 against, and 0 abstentions, approved the "Proposal on Agreeing to Sign the Cooperation Agreement and Invest to Establish a Wholly-Owned Subsidiary." The Company agreed to the signing of the Cooperation Agreement and the investment to establish a wholly-owned subsidiary, and authorized the Company's management or its authorized representatives to handle all matters related to the signing and performance of the cooperation agreement and the establishment of the wholly-owned subsidiary.
