Shandong Xintong Electronics Co., Ltd. (hereinafter referred to as the "Company") held its sixth meeting of the fifth Board of Directors on August 7, 2026, and reviewed and approved the "Proposal on Changes to Registered Capital, Amendment to the Articles of Association, and Industrial and Commercial Registration." The aforementioned proposal needs to be submitted to the shareholders' meeting for review. The relevant situation is hereby announced as follows:
I. Changes to Registered Capital
- On June 22, 2026, the Company held the fifth meeting of the fifth Board of Directors and reviewed and approved the "Proposal on the First Grant of Restricted Shares to Incentive Recipients under the 2026 Restricted Share Incentive Plan." The Board of Directors agreed that June 22, 2026, would be the date of the first grant, and 1,950,000 restricted shares would be granted to 123 incentive recipients for the first time. These shares have completed registration and were listed on July 8, 2026. After the issuance, the Company's registered capital changed from RMB 156,000,000.00 to RMB 157,950,000.00.
