Chapter 1 General Principles
Article 1
To clarify the responsibilities and authority of the General Manager of Hubei Ping An Electric Technology Co., Ltd. (hereinafter referred to as "the Company"), standardize the organization and behavior of the General Manager, and improve decision-making efficiency, these regulations are formulated in accordance with the Company Law of the People's Republic of China and the Articles of Association of Hubei Ping An Electric Technology Co., Ltd. (hereinafter referred to as "the Articles").
Article 2
The General Manager is nominated by the Chairman and appointed or dismissed by the Board of Directors, being accountable to the Board.
Article 3
The General Manager presides over the Company's daily production, operations, and management, and organizes the implementation of Board resolutions.
Chapter 2 Qualifications of the General Manager
Article 4
The Company shall have one General Manager, who is appointed by the Board of Directors.
Article 5
The term of office for the General Manager is three years, and reappointment is allowed.
Article 6
The following individuals shall not serve as the General Manager of the Company:
- Those without civil capacity or with limited civil capacity;
- Those convicted of embezzlement, bribery, misappropriation of property, or disrupting the socialist market economy, and who have not completed their sentence or have been deprived of political rights within the last five years;
- Those who have served as directors or managers of a company undergoing bankruptcy liquidation and are personally liable for the bankruptcy, within three years of the completion of the liquidation;
- Those who have been the legal representatives of companies whose business licenses were revoked due to illegal activities and are personally liable, within three years of the revocation;
- Those listed as untrustworthy by the People's Court due to significant unpaid debts;
- Those subject to market entry bans by the China Securities Regulatory Commission, within the ban period;
- Those deemed unsuitable to serve as directors or senior management by the stock exchange, within the ban period;
- Other circumstances as stipulated by laws, regulations, or departmental rules.
If the General Manager encounters any of the above situations during their term, the Company will terminate their position and cease their duties. The General Manager may resign before the end of their term, with specific procedures outlined in the labor contract between the General Manager and the Company.
Chapter 3 Authority of the General Manager
Article 7
The General Manager shall attend Board meetings and exercise the following powers:
- Preside over the Company's production and management work, organize the implementation of Board resolutions, and report to the Board;
- Organize the implementation of the Company's annual business plan and investment proposals;
- Draft proposals for the internal management structure of the Company;
- Draft the Company's basic management systems;
- Formulate specific regulations for the Company;
- Propose the appointment or dismissal of the Deputy General Manager and financial officer to the Board;
- Decide on the appointment or dismissal of other management personnel not requiring Board approval;
- Other powers granted by the Articles or the Board.
Article 8
In emergencies, the General Manager has the temporary authority to make immediate decisions on production and administrative issues that fall outside their jurisdiction but must promptly report to the Board afterward.
Article 9
The authority for the General Manager's use of funds and assets shall be authorized by the Board based on the actual needs of the Company's operations.
