Chapter 1 General Principles
Article 1
To standardize the securities investment activities of Shenzhen Zhiwei Intelligent Technology Co., Ltd. (hereinafter referred to as "the Company"), prevent securities investment risks, ensure the safety and effective appreciation of investment funds, and achieve scientific, standardized, and institutionalized securities investment decision-making, this system is formulated in accordance with the "Securities Law of the People's Republic of China," "Administrative Measures for Information Disclosure of Listed Companies," "Shenzhen Stock Exchange Stock Listing Rules," "Self-Regulatory Guidelines No. 1 for Main Board Listed Companies," "Self-Regulatory Guidelines No. 7 for Listed Companies on Transaction and Related Transactions," and relevant provisions of the "Articles of Association," combined with the actual situation of the Company.
Article 2
The term "securities investment" in this system includes new stock allocations or subscriptions, securities repurchases, investments in stocks and depositary receipts, bond investments, and other investment behaviors recognized by the Shenzhen Stock Exchange. The following situations are not applicable to this system:
- Securities investment activities that are the main business of the Company or its controlling subsidiaries;
- Fixed-income or capital-preserving investment activities;
- Participation in the allotment of shares of other listed companies or exercising preemptive subscription rights;
- Purchasing shares of other listed companies exceeding 10% of the total share capital, with an intended holding period of more than three years;
- Investments made prior to the Company's initial public offering and listing.
Article 3
Principles of securities investment:
- The Company's securities investments must comply with national laws, regulations, and normative documents.
- The Company's securities investments should adhere to the principles of legality, prudence, safety, and effectiveness, establishing a sound internal control system to manage investment risks and focus on investment benefits.
- The Company's securities investments must align with the asset structure, be appropriately scaled, and not affect the normal operation of the main business.
Article 4
The source of funds for the Company's securities investments shall be the Company's own funds. The Company must strictly control the scale of securities investment funds and shall not use raised funds directly or indirectly for securities investments.
