Chapter 1 General Principles
Article 1
To further improve the operational standards of Mousse Health Sleep Co., Ltd. (hereinafter referred to as "the Company"), increase accountability for those responsible for annual report (hereinafter referred to as "Annual Report") information disclosure, enhance the quality and transparency of Annual Report disclosures, and strengthen the authenticity, accuracy, completeness, and timeliness of such disclosures, this system is formulated based on the "Securities Law of the People's Republic of China" (hereinafter referred to as "Securities Law"), "Accounting Law of the People's Republic of China," "Administrative Measures for Information Disclosure of Listed Companies," "Corporate Governance Standards for Listed Companies," "Shenzhen Stock Exchange Listing Rules" (hereinafter referred to as "Listing Rules"), "Self-Regulatory Guidelines No. 1 for Listed Companies on the Main Board of Shenzhen Stock Exchange," and other relevant laws, regulations, normative documents, and the "Articles of Association of Mousse Health Sleep Co., Ltd." (hereinafter referred to as "Articles of Association"), as well as the "Information Disclosure Management System," in conjunction with the actual situation of the Company.
Article 2
The accountability system referred to in this system pertains to the investigation and handling of personnel who fail to perform or improperly perform their duties and obligations in the Annual Report information disclosure work, resulting in significant economic losses or adverse social impacts on the Company.
Article 3
This system applies to the Company's controlling shareholders and actual controllers, directors, senior management personnel, heads of various departments and subsidiaries, and other staff involved in Annual Report information disclosure.
Article 4
Relevant personnel of the Company shall strictly implement the "Enterprise Accounting Standards" and related regulations, adhere to the internal control systems related to financial reporting, and ensure that financial reports accurately and fairly reflect the Company's financial status, operating results, and cash flows. Relevant personnel shall not interfere with or obstruct the independent and objective auditing work of audit institutions and relevant certified public accountants.
Article 5
If the Company's directors, senior management personnel, and other individuals related to Annual Report information disclosure violate national laws, regulations, normative documents, or the Company's rules and regulations, fail to perform their duties diligently, or do not fulfill their responsibilities, leading to significant errors in Annual Report disclosures, they shall be held accountable according to the provisions of this system.
