Shenzhen Idun Information Co., Ltd. (hereinafter referred to as the "Company") intends to purchase 100% equity of Shenzhen Chengwei Information Co., Ltd. (hereinafter referred to as the "Target Company") (hereinafter referred to as the "Target Assets") by issuing shares and paying cash, and to raise supporting funds (hereinafter referred to as the "Transaction").
The Company disclosed the "Report (Draft) on Issuing Shares and Paying Cash to Purchase Assets and Raising Supporting Funds and Related Party Transactions of Shenzhen Idun Information Co., Ltd. (Declaration Draft)" (hereinafter referred to as the "Restructuring Report") and other related documents on March 9, 2026, and disclosed the "Report (Draft) on Issuing Shares and Paying Cash to Purchase Assets and Raising Supporting Funds and Related Party Transactions of Shenzhen Idun Information Co., Ltd. (Revised Draft)" and other related documents on April 17, 2026. Given that the validity period of the financial data in the Restructuring Report expired on June 30, 2026, the Company engaged an audit institution to conduct an additional audit with March 31, 2026, as the reference date. As of now, the additional audit work has been completed, and the Company has supplemented and revised the Restructuring Report and other related documents in accordance with relevant regulations.
