Regarding Shaanxi Meinen Clean Energy Group Co., Ltd.'s 2025 Annual General Meeting Legal Opinion
To: Shaanxi Meinen Clean Energy Group Co., Ltd.
Pursuant to the "Securities Law of the People's Republic of China" (hereinafter referred to as the "Securities Law"), the "Company Law of the People's Republic of China" (hereinafter referred to as the "Company Law"), and other laws, administrative regulations, and normative documents, Grandall Law Firm (Xi'an) Office (hereinafter referred to as the "Firm" or "Grandall") was entrusted by Shaanxi Meinen Clean Energy Group Co., Ltd. (hereinafter referred to as the "Company") to appoint lawyers to attend the Company's 2025 Annual General Meeting (hereinafter referred to as the "Meeting") and to witness relevant matters of the Meeting, and to issue this legal opinion in accordance with the law.
Grandall and the handling lawyers, in accordance with the "Securities Law," the "Administrative Measures for Securities Legal Business of Law Firms," and the "Practice Rules for Securities Legal Business of Law Firms (Trial)," and based on facts that have occurred or existed prior to the date of issuance of this legal opinion, have strictly performed their statutory duties, adhered to the principles of diligence and good faith, conducted thorough verification, ensured that the facts identified in this legal opinion are true, accurate, and complete, that the conclusions made are legal and accurate, and that there are no false records, misleading statements, or material omissions, and shall bear corresponding legal responsibilities.
