Announcement on the Election of Employee Representative Director for the Third Board of Directors
Shanxi Meino Clean Energy Group Co., Ltd. (hereinafter referred to as "the Company") held the 15th meeting of the third board of directors on August 25, 2025, and the first extraordinary general meeting of shareholders on September 11, 2025, where the proposal on "Changing Registered Capital and Amending the Articles of Association" was approved.
According to the amended Article 107 of the Articles of Association, "There shall be one employee representative among the members of the board of directors. The employee representative on the board shall be elected by the employees through the employee representative assembly, employee assembly, or other democratic means, without the need for submission to the shareholders' meeting for approval."
In accordance with the provisions of the Articles of Association, the Company convened the first employee representative assembly on September 11, 2025. The attending employee representatives unanimously agreed to elect Ms. Liu Yaping as the employee representative director of the third board of directors, with her term starting from the date of approval by the employee representative assembly until the end of the third board's tenure.
