Chapter 1 General Principles
Article 1
To further establish and improve the assessment and remuneration management system for the directors (non-independent directors) and senior management of Shaanxi Meinuo Clean Energy Group Co., Ltd. (hereinafter referred to as "the Company"), and to enhance the Company's assessment and evaluation system, the Company has established the Remuneration and Assessment Committee of the Board of Directors (hereinafter referred to as "the Committee") and formulated these rules in accordance with the Company Law and other relevant laws, regulations, normative documents, and the Articles of Association.
Article 2
The Committee is a specialized body under the Board of Directors, responsible to the Board, mainly tasked with researching the assessment criteria for the Company's directors and senior management, making assessment recommendations, and reviewing the remuneration policies and plans for the Company's directors and senior management.
Chapter 2 Composition
Article 3
The Committee shall consist of no fewer than three directors, with independent directors constituting more than half of the members.
Article 4
Committee members shall be nominated by the Chairman, more than half of the independent directors, or more than one-third of all directors, and elected by the Board of Directors.
Article 5
The Committee shall have one chairperson (convener) responsible for presiding over the Committee's work and convening Committee meetings. The chairperson shall be elected from among the independent directors and approved by the Board of Directors.
Article 6
The term of the Committee is the same as that of the Board of Directors. Members may be re-elected upon the expiration of their term. If a member ceases to be a director of the Company, they automatically lose their membership. If the number of members falls below two-thirds of the required number due to resignation, dismissal, or other reasons, the Board of Directors shall supplement the membership according to Articles 3 to 5 above; resigning members shall continue to perform their duties until the newly elected members assume office.
