(hereinafter referred to as "the Company" or "Ruili Kemi") is planning to issue shares to purchase a 16% equity stake held by Cheng Yi in the Company's controlling subsidiary, Wuhan Ruili Kedes Automotive Electronics Co., Ltd. (hereinafter referred to as "Wuhan Kedes" or "the Target Company"), and related transactions (hereinafter referred to as "this transaction"). Upon completion of this transaction, Wuhan Kedes will become a wholly-owned subsidiary of the Company.
