Audit Report on China Uranium Corporation Co., Ltd.'s Use of Excess Raised Funds for Investment Projects
CITIC Securities Co., Ltd. (hereinafter referred to as "CITIC Securities" or "Sponsor") is the sponsor of China Uranium Corporation Co., Ltd. (hereinafter referred to as "China Uranium" or "the Company") for its initial public offering of shares on the main board of the Shenzhen Stock Exchange. In accordance with the "Administrative Measures for Securities Issuance and Listing Sponsorship Business," "Supervision Rules for the Management of Raised Funds of Listed Companies," "Shenzhen Stock Exchange Stock Listing Rules (Revised 2026)," "Shenzhen Stock Exchange Listed Company Self-Regulatory Supervision Guidelines No. 1 - Normative Operation of Main Board Listed Companies (Revised 2026)," "Shenzhen Stock Exchange Listed Company Self-Regulatory Supervision Guidelines No. 13 - Sponsorship Business," and other relevant laws, regulations, and normative documents, CITIC Securities has prudently audited the matter of China Uranium's use of excess raised funds for investment projects. The audit findings and opinions are as follows:
I. Basic Situation of Raised Funds
With the approval of the China Securities Regulatory Commission's "Approval on the Registration of China Uranium Corporation Co., Ltd.'s Initial Public Offering of Shares" (Zheng Jian Xu Ke [2025] No. 2151) and the Shenzhen Stock Exchange, the Company issued 248,181,818 ordinary shares (A shares) at an issuance price of RMB 17.89 per share. The total amount of raised funds was RMB 4,439,972,724.02. After deducting issuance expenses of RMB 77,347,332.95, the net amount of raised funds was RMB 4,362,625,391.07. The aforementioned raised funds were transferred to the Company's designated account on November 27, 2025. Daixin Certified Public Accountants (Special General Partnership) has audited the arrival of the raised funds for this issuance and issued the "Capital Verification Report" (Daixin Yan Zi [2025] No. 1-00082).
The Company and its subsidiaries (CNNC Inner Mongolia Mining Co., Ltd., CNNC Xinjiang Tianshan Uranium Co., Ltd., CNNC Shaoguan Jinyuan Uranium Co., Ltd., CNNC Guayuan Uranium Co., Ltd., CNNC Huazhong New Materials Co., Ltd., CNNC Huazhong New Materials Co., Ltd.) have opened special accounts for raised funds to manage the deposit and use of raised funds. Upon arrival, all raised funds have been deposited into the special accounts for raised funds, and tripartite supervision agreements for raised funds have been signed with the Sponsor and the banks where the raised funds are deposited.
