Special Reminder: As of the date of this announcement, the total amount of guarantees provided by Huylv Ecology Technology Group Co., Ltd. (hereinafter referred to as "the Company") exceeds 50% of the audited net assets in the consolidated financial statements for the year 2025. The Company and its controlling subsidiary, Wuhan Junheng Technology Co., Ltd. (hereinafter referred to as "Wuhan Junheng"), jointly established TRILIGHT OPTICS (MALAYSIA) SDN. BHD. (hereinafter referred to as "Malaysia Junheng"), which had a debt-to-asset ratio exceeding 70% at the end of the most recent year. Investors are advised to pay close attention to the guarantee risks.
1. Overview of the Guarantee Situation
On June 5, 2026, the Company held the 22nd meeting of the 11th Board of Directors, which reviewed and approved the proposal regarding Wuhan Junheng providing a guarantee for Malaysia Junheng. Wuhan Junheng intends to provide a joint liability guarantee with a total amount not exceeding 50 million RMB, with the guarantee period subject to the relevant guarantee contract signed with the bank. This guarantee aims to meet the funding needs for Malaysia Junheng's overseas business expansion and daily operational development, supporting its business activities. Given that the total amount of guarantees provided by the Company exceeds 50% of the most recent audited net assets and that Malaysia Junheng's debt-to-asset ratio exceeds 70%, this guarantee matter needs to be submitted to the shareholders' meeting for review in accordance with relevant laws and regulations and the Company's Articles of Association.
