On April 2, 2026, Huilv Ecological Technology Group Co., Ltd. (hereinafter referred to as the "Company") held the 18th meeting of the 11th Board of Directors, which reviewed and approved the "Proposal on the Change of Principal and Beneficiary of 'Golden Valley · Huili 23' Single Trust". The relevant matters are hereby announced as follows:
I. Overview of Trust Product Purchase
On November 29, 2022, the Company held the 10th meeting of the 10th Board of Directors, which reviewed and approved the "Proposal on Wholly-owned Subsidiary Using Own Funds to Purchase Trust Products". It was agreed that Huilv Garden Landscape Construction and Development Co., Ltd. (hereinafter referred to as "Huilv Garden"), a wholly-owned subsidiary of the Company, would use its own funds of RMB 100 million to subscribe to the "Golden Valley · Huili 23" Single Trust product. The general manager of the subsidiary was authorized to sign the relevant contract documents. Independent directors have issued independent opinions on this transaction. The sponsor institution has issued a verification opinion on this transaction.
