Caitong Securities Co., Ltd. (hereinafter referred to as "Caitong Securities" or "the Sponsor") is the sponsor for Zhejiang Bofei Electric Co., Ltd. (hereinafter referred to as "Bofei Electric" or "the Company") regarding the simplified procedure for issuing stocks to specific targets in 2025. According to the "Administrative Measures for the Sponsorship of Securities Issuance and Listing," "Shenzhen Stock Exchange Stock Listing Rules," and "Self-Regulatory Guidelines No. 1 for Listed Companies on the Shenzhen Stock Exchange - Standardized Operations for Main Board Listed Companies," as well as other relevant laws, regulations, and normative documents, the Company’s expected daily related transactions for 2026 have been verified, with specific verification details as follows:
I. Basic Situation of Daily Related Transactions
(1) Overview of Daily Related Transactions
On March 31, 2026, Bofei Electric held the 26th meeting of the third board of directors, where it reviewed and approved the proposal on the expected amount of daily related transactions for 2026. Based on the "Shenzhen Stock Exchange Stock Listing Rules," "Self-Regulatory Guidelines No. 7 for Listed Companies on the Shenzhen Stock Exchange - Transactions and Related Transactions," and the "Articles of Association," and in consideration of daily operational needs, the Company and its controlling subsidiaries expect to engage in daily related transactions with Zhuzhou Times New Material Technology Co., Ltd. and its subsidiaries (hereinafter referred to as "Times New Material") and Zhejiang Bofei New Energy Technology Co., Ltd. (hereinafter referred to as "Bofei New Energy") in 2026. The transactions will involve procurement of raw materials, sales of products, and leasing of properties, with a total expected transaction amount of 31 million yuan. This expected daily related transaction for 2026 does not require submission for shareholder meeting approval.
